These Terms of Service ("Terms") govern your access to and use of our website (the "Site") and our Odoo customization and development services (the "Services") provided by QuickSol Technologies ("we," "us," or "our"). 1. Services:

We provide Odoo customization and development services, including but not limited to:

• Odoo module development and customization
• Odoo implementation and configuration
• Odoo integration with other systems
• Odoo training and support

The specific scope of the Services provided under each project will be detailed in a separate agreement or proposal (the "Project Agreement") that will be provided to you. In the event of a conflict between these Terms and a Project Agreement, the terms of the Project Agreement shall prevail.

2. User Responsibilities:

You agree to:

• Provide us with accurate and complete information necessary for the performance of the Services.  
• Cooperate with us in a timely manner to facilitate the completion of the Services.
• Pay all fees due for the Services as outlined in the Project Agreement.
• Not use our Services for any illegal or unauthorized purpose.
• Not interfere with or disrupt the operation of our Site or Services.
• Not attempt to gain unauthorized access to any systems or data.
• Be responsible for maintaining the security of your own Odoo instance and data. We are not responsible for data breaches or security issues arising from your own systems or configurations.

3. Fees and Payment:

The fees for our Services will be outlined in the Project Agreement. You agree to pay all fees due according to the payment schedule specified in the Project Agreement. Late payments may be subject to interest charges.

4. Intellectual Property:

• Our Intellectual Property: All intellectual property rights in our pre-existing tools, methodologies, and code libraries used in providing the Services remain our sole property.
• Client Intellectual Property: You retain all intellectual property rights in your existing data and Odoo customizations developed prior to the commencement of the Services.
• Custom Developments: Ownership of intellectual property rights in custom developments created specifically for you as part of the Services will be as defined in the Project Agreement. Unless otherwise agreed in writing, we grant you a non-exclusive, perpetual, worldwide license to use the custom developments for your internal business purposes.

5. Confidentiality:

Both parties agree to keep confidential any information disclosed by the other party during the course of the Services. This obligation of confidentiality shall survive the termination of the Services.

6. Disclaimer of Warranties:

We provide the Services "as is" and without any warranty of any kind, express or implied. We do not warrant that the Services will be error-free or uninterrupted. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.  

7. Limitation of Liability:

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site or Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the total amount you have paid to us for the specific Service giving rise to the claim.  

8. Termination:

We may terminate these Terms or the Project Agreement at any time, with or without cause, by providing written notice to you. You may terminate these Terms or the Project Agreement by providing written notice to us. Upon termination, you will be responsible for paying any outstanding fees due for Services rendered prior to the termination date.

9. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law principles.  

10. Entire Agreement:

These Terms, together with the Project Agreement (if applicable), constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings, whether written or oral.  

11. Changes to these Terms:

We may update these Terms from time to time. We will post any changes on our Site and encourage you to review them periodically. Your continued use of our Site or Services following the posting of such changes constitutes your acceptance of the revised Terms.
